Gloria — Terms of Service

These Terms of Service ("Terms") are a binding agreement between you and Decentral Media Inc. ("Company," "we," "us"), the operator of Gloria (gloriafinance.ai) and its related applications and services (the "Service"). By creating an account or using the Service you agree to these Terms. If you do not agree, do not use the Service.
1. Nature of the Service
Gloria is an informational and analytical service. It provides personalized market intelligence: AI-assisted interpretation of publicly available information, filings, and market data as it may relate to assets you choose to track or hold.
2. No Investment Advice
The Service does not provide investment advice, trading signals, or recommendations. Nothing in the Service is a recommendation to buy, sell, or hold any asset. Gloria is not a broker-dealer, investment adviser, or fiduciary, and no advisory or fiduciary relationship is created by your use of the Service. Consider consulting a qualified financial professional before making investment decisions.
3. AI-Assisted Content; No Reliance
Certain content is generated or assisted by automated systems and may be incomplete, inaccurate, or out of date. Outputs are interpretive. You are solely responsible for your decisions and for evaluating any information's relevance to your circumstances. The Service is not designed for use as a direct input into automated trading or decision-making systems.
4. Eligibility
You must be at least 13 years old to use the Service. If you are under the age of majority in your jurisdiction, you may use the Service only with the involvement and consent of a parent or guardian. You are responsible for compliance with the laws that apply to you.
5. Your Account
You are responsible for the confidentiality of your credentials and for all activity under your account. Provide accurate registration information. We may suspend accounts that provide false information or that we reasonably believe are compromised.
6. Linked Accounts and Data You Provide
You may connect brokerage accounts (via our read-only integration provider), provide wallet addresses (watch-only), or enter holdings manually. You represent that you are authorized to connect the accounts you connect. We never receive or store your brokerage login credentials, and the Service cannot move, trade, or transfer your assets.
7. Subscriptions and Fees
During early access the Service is provided free of charge to selected members. When paid plans begin: fees will be disclosed before you pay; subscriptions renew automatically until cancelled; you can cancel at any time, effective at the end of the current billing period; we will give reasonable advance notice of fee changes; and pricing commitments we make in writing to early-access members ("founder pricing") will be honored as stated. We may correct pricing errors and refuse or cancel orders affected by them.
8. Early Access Program
Free early access is granted at our discretion, in exchange for your genuine use of the Service and feedback. See the Early Access Program Terms, which are part of these Terms.
9. Feedback
You own your ideas. By submitting feedback, suggestions, or survey responses, you grant the Company a perpetual, irrevocable, royalty-free license to use them for any purpose, without compensation or attribution.
10. Acceptable Use
You agree not to: scrape, harvest, or bulk-extract content or data; access the Service by automated means except public interfaces we document; probe, disrupt, or overload the Service; reverse engineer any part of it; misrepresent your identity; resell or redistribute Service content without written consent; use the Service to violate law; or market Service outputs as trading signals or investment advice.
11. Intellectual Property
The Service, including its software, design, text, and data compilations, is owned by the Company or its licensors. We grant you a personal, non-exclusive, non-transferable, revocable license to use the Service for your own informational purposes.
12. Third-Party Services
The Service links to and integrates third-party services (market data providers, brokerage connectivity, AI model providers). We are not responsible for third-party services, and your use of them may be subject to their terms.
13. Availability; Modifications
We may modify, suspend, or discontinue any part of the Service. We do not guarantee uninterrupted availability. We are not liable for loss or corruption of data; maintain your own records of anything you need.
14. Market Risk
Markets involve significant risk, including loss of principal. We make no representation regarding the suitability or profitability of any asset, market, or strategy.
15. Disclaimer of Warranties
THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT.
16. Limitation of Liability
TO THE FULLEST EXTENT PERMITTED BY LAW, THE COMPANY SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, OR ANY LOSS OF PROFITS, DATA, OR GOODWILL. THE COMPANY'S TOTAL LIABILITY FOR ALL CLAIMS SHALL NOT EXCEED THE AMOUNTS YOU PAID TO THE COMPANY IN THE THREE (3) MONTHS BEFORE THE EVENT GIVING RISE TO THE CLAIM, OR ONE HUNDRED U.S. DOLLARS ($100) IF YOU HAVE PAID NOTHING. Some jurisdictions do not allow certain limitations; portions of this section may not apply to you.
17. Indemnification
You will defend and indemnify the Company against claims arising from your use of the Service, your violation of these Terms, or your violation of law or third-party rights.
18. Termination
You may stop using the Service at any time and may request account deletion. We may suspend or terminate access for violation of these Terms. Sections that by their nature survive termination survive it.
19. Electronic Communications
You consent to receive communications from us electronically, and agree that electronic notices satisfy any legal communication requirements.
20. Governing Law; Disputes
These Terms are governed by the laws of the State of Florida, USA, without regard to conflicts of law. The exclusive venue for disputes is the state and federal courts located in Florida, and each party consents to their jurisdiction.
21. Changes to These Terms
We may update these Terms. We will post the updated version with its date and, for material changes, notify you by email or in the app. Continued use after changes take effect constitutes acceptance.
22. Miscellaneous
If any provision is unenforceable, the remainder stays in effect. These Terms, the Privacy Policy, the Disclaimer & Risk Disclosure, and the Early Access Program Terms are the entire agreement between you and the Company regarding the Service.
